Terms Of Sale

  1. Agreement

These Terms of Sale constitute a legally binding contract between the customer (“you”) and Procurement Australasia Ltd (ACN 058 335 363) trading as Church Resources and Procurement Australia (“us”, “we”) and apply to the any order, purchase, and delivery of goods (“goods”) from this website (“Website”, “portal”).  By placing an order for Goods with us, you agree to be bound by these Terms and Conditions.

We encourage you to read these Terms of Sale before placing your order. They contain important information about how we process, manage and delivery your order.

  1. Pricing
    • The price of goods is shown on this portal. The prices quoted are correct at time of publishing.
    • Considerable care has been taken in the preparation of pricing that appears on this portal, however inaccuracies may occur, and we cannot therefore accept responsibility for any errors or omissions. We reserve the right to change the price of goods offered without notice to you.
    • The pricing specified in this portal is not combinable with any other offer and is subject to these Terms of Sale.
    • In addition to the price of goods, you must pay the applicable delivery charge (if any). This will be applied at the check-out stage of the order process.
    • By placing an order with us, you agree to pay the price of the goods plus any additional delivery charges.
  2. Ordering and delivery
    • In order to place an order with us, you must have registered for an account on our Website. All orders must be placed using your account details.
    • When you submit an order, you make an offer to us to purchase goods for the price plus any applicable delivery charges. We may accept or refuse your offer at our discretion. Each order accepted by us constitutes a separate binding agreement between you and us in respect of the goods in accordance with these Terms of Sale.
    • Your order is deemed to have been accepted by us when we process your payment. Orders will not be dispatched until payment is received by us.
    • In placing an order, you warrant that all details within the order, including but not limited to the selected goods and nominated delivery address, are accurate, up-to-date and complete. If you place an order on behalf of someone else, you warrant that you have obtained and hold all requisite consents and authorisations required to do so.
    • You acknowledge that we will not be responsible for any failure to perform or any delay in performance, where such failure or delay is caused or contributed to by:
      • any incorrect or inaccurate information supplied by the you; or
      • any event outside our reasonable control (such as a failure or delay by a third party in the supply or delivery of the goods).
    • When you place orders for multiple goods, your goods may be delivered separately.
    • Unless otherwise specified at the time of payment, please allow seven (7) days for delivery. Delivery times are estimates only - we use best endeavours to ensure the timely delivery of your goods, but do not guarantee delivery within the timeframes specified at the time of purchase. If we suspect or experience longer delays, we will attempt to contact you to advise you of the delay.
  3. Terms of Payment
    • Unless you are an approved account customer, payment must be made prior to dispatch of goods by an accepted credit card. If your payment cannot be processed or is not received, you order may be cancelled.
    • Payments made by credit card may attract a credit card processing fee of 1% of the total purchase price for Visa and MasterCard. Any additional fees will be notified at the checkout (or otherwise by us) before any payments are deducted. We reserve the right changes our payment methods in our discretion.
    • Approved credit account customers are required to pay within 14 days from the date of invoice.
  4. Goods and Services Tax (GST)
    • We are registered for GST. All quoted prices show our sell price, a Goods and Services Tax of 10% and/or a combined total which defines the invoice price payable.
    • We agree to issue you with a tax invoice in accordance with relevant legislation or regulations that apply to the GST in respect of goods purchased.
    • Unless otherwise stated, all prices quoted in Australian dollars and are exclusive of GST and delivery.
  5. Cancellation or Variation
    • An order only may be cancelled or varied by you if approved by us in writing. If you cancel or vary your order, you agree to compensate us on request for any costs or loss (including but not limited to loss of profit) that we suffer or incur in connection with your variation or cancellation.
    • We reserve the right to cancel or refuse an order for any reason prior to delivery, including, but not limited to:
      • unavailability of the goods;
      • errors in the price or description of the goods;
      • events beyond our control, such as fire, flood, storm, power or computer system failure or failure by third party service providers, that mean we are unable to supply or supply on time the goods;
      • if we believe you have breached these Terms of Sale; or
      • if we suspect that your order or payment is fraudulent.
    • In the event that an order is refused or cancelled by us, we will promptly notify you and will refund any moneys already paid through the same method as the original payment.
    • As we are dependent on our suppliers to provide the goods on our Website, we cannot guarantee availability of all goods at all times. You acknowledge and agree that, from time to time, certain goods may be out of stock or unavailable. We reserve the right to withdraw or suspend the sale of goods without notice to you.
  6. Title and Risk
    • Subject to payment in accordance with these terms, title in the goods passes to you on the date and time of delivery of the goods to the delivery address provided in your order, or to any agent acting on your behalf. If you default on payment of goods, we may resell or regain possession of the goods.
    • Risk in the goods passes to you on the date and time of delivery of the goods to the delivery address provided in your order, or to any agent acting on your behalf.
    • You should inspect your goods as soon as they are delivered to ensure they are what you ordered and are not damaged or faulty. If you have a problem with any goods you receive, please contact us immediately. A delay in notifying us of damaged or faulty goods could result in a rejection by the manufacturer of a warranty claim. [
    • You must not sell, dispose or otherwise deal with the goods until full payment of the price and all other sums owing by you to us in relation to any goods has been made.
    • You acknowledge and agree that all rights in all copyright, designs, patents and trademarks existing in relation to the goods are reserved to the owner of those rights.
  7. Returns
    • An order may be returned by you for change of mind only if such return is accepted by us in writing. If you return your order, you agree to compensate us on request for any costs or loss (including but not limited to loss of profit) that we suffer or incur in connection with your return.

  1. Warranties
    • Under the Australian Consumer Law (ACL) and similar state and territory legislation, consumers have certain rights which cannot be excluded, including guarantees as to the acceptable quality and fitness for purpose of goods and services. If you are a consumer for the purposes of Australian Consumer Law, you may be entitled to these rights.
    • Our goods come with certain guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
    • Nothing in these Terms of Use shall be read or applied so as to exclude, restrict or modify or have the effect of excluding, restricting or modifying any condition, warranty, guarantee, right or remedy implied by law (including the ACL) and which by law cannot be excluded, restricted or modified.
  2. Procurement Compliance

To the extent permitted by law, we disclaim all warranties and representations (whether express or implied) that the goods will meet the your internal procurement policies or procedures and, in making a purchase, the you acknowledge and agree that you bears the sole responsibility of ensuring that the goods meet your own internal procurement requirements.

  1. Liability and indemnity
    • To the extent permitted by law:
      • we will not be liable to you for any act, omission or default, whether negligent or otherwise of any third party or for any loss or damage occasioned by any negligent act or omission of any third party; and
      • where our liability cannot be excluded, such liability is limited to the value of the goods.
    • You acknowledge and agree that, to the extent permitted by law, we will not be liable to you for any loss, cost, damage or expenses suffered or incurred in connection with:
      • your account or order information being incomplete or incorrect;
      • you being unable to change or cancel your order once it has been accepted by us;
      • your cancellation or variation of your order, including any delay in processing any refund;
      • the unauthorised use of your account;
      • your use or access to the Website;
      • the unavailability of or delay in delivery of the goods;
    • By placing an order with us, you agree to indemnify us against all claims, damages, loss or injury as a result of your breach these Terms of Sale or any breaches of law or the rights of a third party.

    • We may, from time to time, amend, update or change these Terms of Sale without prior notice.
    • These Terms of Sale are governed by the laws of Victoria, Australia and in any disputes between you and us, you agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia.
